We have Solaris 6.9 64-bit SPARC, Oracle 10.2.0.2. Upgrading the 4.6C to ECC 6.0 SR2. Iam running the PREPARE on the DEV system. There was a sandbox (copy of production) system upgraded recently.
The DEV prepare phases are taking very long time to finish, but are successful. Like the PREPARE phase ADJ_CNTRANS took 1 hour on DEV, where it took only 27 minutes on Sandbox.
And the batch job for this phase only has 3 lines in the logs
> job started
> report name user id ddic
> job finished
And the phase TOOLIMPI took 2 hours on DEV, whereas it took only 16 minutes on Sandbox. Its pretty much taking twice as much of sandbox phase time on dev system, for some phases.
Iam not able to figure where is it getting help up. The sm50 processes are all waiting, 8 CPUs 96% of idle time, 5G ram.

First, check if the parameters are set according to
Note 830576 - Parameter recommendations for Oracle 10g
especially the "event" section.
Also check if you have applied all necessary patches for your platform (~ 30 patches):
Note 871096 - Oracle Database 10g: Patch sets/patches for 10.2.0
And finally, as suggested by the previous poster, recreate your statistics before you start the upgrade.

Check the database statistics. Usually the DEV system has the old statistics so Mrs oracle chose the wrong execution path.
