That means - Right-click on the file and do a Run as Admin*
Make sure you are running SUM tool with SIDadm.

HI,
Login to server as <sid>adm user.
Go to Start -> Command Prompt -> Right Click and use run as administrator.
Now cd <SUM directory>
-> Try running STARTUP.BAT

No Authorization for SUM Folder ,Please run with SIDADM user
Give full authorization for SUM Folder while doing the Upgrade
