BADI - This is a program enhancement technique. SAP provides BADI openings in the standard programs. You need to search for the suitable BADI as ur requirement and then do the coding and plug in the program. This can be performed through transactions SE18, SE19, SE20.

User Exit is an older form (if you will) of BADI. these are controlled through transactions CMOD and SMOD. There are different types of Exits i.e. http://scn.sap.com/docs/DOC-29212
