I want to know the differences and overlaps between the
two in terms of functionality.
I know one can run while the system is down but another
cannot run while the system is down.
Every change on them requires a restart of the system?
Any exception?

From my experience as an XI consultant sometimes using these tools to solve a system issue ( so not from a basis consultant point of view )
1)I use VA at runtime : depending upon what you change here you need to do
-nothing. The change is immediatly active ( sometimes with a save button but sometimes also immediately when you change -- It really depends upon the service/ type of change
-restart service that you changed ( e.g. HTTP provider )
-restart J2EE
2) I use Config tool to change STARTUP settings for the J2EE engine (e.g. make sure the SSL service startup automatically on the dispacher when you start )
