How to convert the Purchase Order of one company code to sales order for other company code .
direct conversion of PO to sales order.

Directly PO cannot be converted into slaes order using ALE / IDOC functionality only you can convert a PO in ne compnay to SO in anothe Company

now against this converted sale order, can i able to do outbound delivery from second caompnay code to first company code .
Yes you can Oytbound delivery from one compnay code will become the Shipping notification in the Other company code
